1. Introduction & Acceptance
These Terms of Service ("Terms") govern your use of the DownforSheets Google Sheets add-on and the DownforSheets website (collectively, the "Service"), operated by Downfor ("we," "us," or "our").
By installing, accessing, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not install or use the Service.
2. Description of Service
DownforSheets is a Google Sheets add-on that detects data quality issues using rule-based logic. The add-on scans your spreadsheet for missing formulas, formula inconsistencies, duplicate values, mixed data types, and header changes, and reports a health score from 0 to 100.
- Optional auto monitoring sends daily health report emails.
- The add-on can apply automatic fixes to detected issues.
- All processing runs within Google Apps Script on Google's servers. No data is sent to external servers.
The website provides product information, documentation, and support resources.
3. User Responsibilities
- You are responsible for your own spreadsheet data and for maintaining your own backups.
- You should review all changes made by the add-on before relying on them.
- DownforSheets is a supplementary tool and should not be relied upon as your sole data validation method.
- You agree not to use the Service for any unlawful purpose or in violation of Google's Terms of Service.
- You are responsible for ensuring you have appropriate permissions to use the add-on on shared spreadsheets.
4. Data Modification & Backups
The add-on may modify your spreadsheet data when you use automatic fix features.
- Before applying fixes, the add-on creates a hidden backup sheet within your spreadsheet.
- This backup is provided as a convenience and is not guaranteed to be complete or error-free.
- You are responsible for verifying all automatic fixes and maintaining your own independent backups.
- We are not liable for data loss, corruption, or incorrect fixes resulting from automatic modifications.
- You can undo changes by restoring from the hidden backup sheet or using Google Sheets' built-in version history.
5. Feedback
You may submit feedback about the add-on through the sidebar interface.
- By submitting feedback, you grant Downfor a perpetual, royalty-free, worldwide license to use, modify, and incorporate that feedback into the Service.
- You retain ownership of your feedback, but we may use it without compensation or attribution.
- Do not include sensitive or personal data in feedback submissions.
6. Intellectual Property
The Service, including all code, design, branding, and documentation, is owned by Downfor and protected by applicable intellectual property laws.
- These Terms grant you a limited, non-exclusive, revocable license to use the Service for its intended purpose.
- You may not copy, modify, reverse engineer, decompile, or create derivative works from the Service.
- The DownforSheets name and logo are trademarks of Downfor.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or that it will detect all data quality issues in your spreadsheets.
- We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- No advice or information obtained through the Service creates any warranty not expressly stated in these Terms.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Downfor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- This includes, but is not limited to: data loss, incorrect automatic fixes, undetected data quality issues, lost profits, or business interruption.
- Our total liability for any claim arising from the Service shall not exceed the amount you have paid for the Service.
- These limitations apply regardless of the legal theory under which damages are sought, whether in contract, tort, or otherwise.
9. Pricing & Cancellation
- DownforSheets is currently free to use. There is no subscription, payment, or recurring charge.
- We reserve the right to introduce paid features or tiers in the future. If paid features are introduced, free functionality available at the time will remain free. Paid features will be clearly identified as such.
- You may uninstall the add-on at any time through the Google Workspace Marketplace. No cancellation process is required.
10. Termination
- You may stop using the Service at any time by uninstalling the add-on.
- We may suspend or terminate your access to the Service if you violate these Terms or if required by law.
- Upon termination, your right to use the Service ends. Document-scoped data (header baselines and scan reports) remains in your spreadsheet until you delete it.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be noted on this page.
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you disagree with any changes, your remedy is to stop using the Service.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, including the Brazilian Civil Code and the Marco Civil da Internet (Law No. 12.965/2014).
Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of Balneário Camboriú, State of Santa Catarina, Brazil.
